Dialoom legal terms and conditions

1. Parties and acceptance of the terms

These Terms of Service (the "Terms") govern access to and use of Dialoom, a digital booking and real-time video collaboration platform operated by Fremmenn Dynamics, S.L., CIF B75342105, with registered address at Avda. Catedral, Núm. 6, Planta 1, 08002 Barcelona, Spain ("Dialoom", "we", or "us"). By creating an account, booking or hosting a session, or using any part of the platform, you ("you", "user") agree to be legally bound by these Terms and our Privacy Policy. If you do not agree, you must stop using Dialoom immediately.

We may update these Terms to reflect business, legal, or regulatory changes. Material changes will be notified in advance through in-product notices or email. Continued use of the platform after changes take effect constitutes acceptance of the updated Terms.

2. Definitions

  • Host: a professional who offers paid sessions, consultations, or services via Dialoom.
  • Client: a natural or legal person who books and attends a session with a Host.
  • Session: any meeting, video call, or consultation arranged via Dialoom.
  • Services: all features provided by Dialoom, including scheduling, billing, video communication, notifications, and support.

3. Our services

Dialoom enables Hosts to publish availability, manage bookings, and deliver live video sessions to Clients. We provide infrastructure such as calendar synchronisation, messaging, invoicing tools, secure payment processing through Stripe, and video technology powered by Agora. Dialoom acts as an intermediary marketplace; Hosts deliver the substantive services directly to Clients.

We may add, remove, or modify features to improve the platform. Changes that materially affect user rights will be communicated in advance whenever reasonably possible.

4. Eligibility and account creation

  • Users must be at least 18 years old and have full legal capacity to contract.
  • Users must provide accurate, current information and keep their account credentials confidential. You are responsible for all activities undertaken through your account.
  • We reserve the right to conduct verification checks on Hosts, including identity and professional credentials, and may require additional documentation before enabling payouts.
  • We may suspend or terminate accounts that provide false data, breach these Terms, or jeopardise the safety or integrity of the platform.

5. Host obligations

  • Hosts warrant that they possess the qualifications, licences, and permits necessary to deliver the services they advertise, and that their listings are truthful and non-misleading.
  • Hosts must honour confirmed bookings, provide the service diligently, and abide by Dialoom's cancellation policy and applicable law.
  • Hosts agree to comply with tax, invoicing, labour, and consumer regulations applicable to their activity. Dialoom may provide invoicing tools, but Hosts remain responsible for ensuring their fiscal obligations are fulfilled.
  • Hosts must not request or accept payments outside Dialoom for sessions arranged through the platform.

6. Booking process

Clients can browse Host listings, choose a time slot, and confirm bookings by entering the required details and payment method. Dialoom sends confirmation emails to both parties. Any rescheduling or cancellation must be processed through the platform to ensure accurate records and eligibility for refunds where applicable.

Hosts may define preparation requirements for the session. Cancellation and rescheduling windows are set by Dialoom and are the same for every booking (section 8). Clients must review these conditions before confirming a booking.

7. Prices, fees, and payments

  • Hosts set their own prices. Unless stated otherwise, prices are shown in euros and include value added tax (VAT) when applicable.
  • Dialoom charges Hosts a service fee of 10% of the booking value plus applicable VAT. Stripe card processing fees are charged separately by Stripe and are disclosed during onboarding.
  • Payments are processed securely via Stripe. Funds are released to Hosts after the session in accordance with Stripe's payout schedule and after deducting Dialoom's fee.
  • Hosts authorise Dialoom and Stripe to collect the service fee and remit the remainder to the Host. Dialoom may hold payouts temporarily if fraud, chargebacks, or compliance reviews are pending.

8. Cancellations and refunds

Cancellation policy (Client): cancellations made more than 24 hours in advance are eligible for a full refund; with less than 24 hours' notice, 50% is refunded (the remaining 50% compensates the Host for the reserved slot). Bookings may be rescheduled up to 24 hours before the session starts, a limited number of times and always to a future date; within the final 24 hours rescheduling is no longer possible and only cancellation under the policy above applies. Rescheduling does not override the cancellation policy. No-shows: if the Host does not attend the session, the Client receives a full refund; if the Client does not attend while the Host was available, no refund is due. Sessions that never take place because neither party attends are automatically refunded to the Client. Funds: the amount is released to the Host after the session takes place; until then, an undelivered session is refunded to the Client. In-person meetings (coffee): if the Host does not attend the agreed location, the Client is refunded. Refunds are processed through the original payment method. Chargebacks: opening a bank dispute (chargeback) for a session that was actually delivered is a breach of these terms; the Client agrees to resolve any issue through Dialoom before contacting their bank. Where consumer legislation grants mandatory rights (for example, withdrawal rights for certain services), such rights will prevail.

Dialoom's cancellation policy, applicable to every booking with every Host: if the Client cancels more than 24 hours before the start, 100% is refunded; if they cancel within the final 24 hours, 50% is refunded and the other 50% compensates the Host for reserving the slot. If the Host does not show up, the Client receives 100%. If the Host cancels, the Client receives 100%. These percentages and the time window may be updated; the applicable policy is shown in the cancellation dialog before confirming.

Right of withdrawal (EU): as leisure services and activities with a specific date or time of performance, they may be excluded from the 14-day right of withdrawal under Article 16(l) of Directive 2011/83/EU, provided the Client is clearly informed before contracting, as done in the booking and cancellation process.

8 bis. Charitable donations (Karoteno)

Hosts may voluntarily allocate a percentage of the bookings they receive to the charity Karoteno. This feature is optional and is enabled solely from the Host's settings by expressly accepting a payment mandate.

  • Voluntary, revocable mandate: The pre-commitment to donate is agreed as a voluntary payment mandate that the Host may revoke at any time with future effect: once switched off, it stops applying to new bookings. Each donation already executed is final and irrevocable, as it constitutes a pure and simple gift.
  • Flow of funds: The donated percentage is deducted from the Host's settlement and transferred directly to Karoteno's account within the payment gateway (Stripe) at settlement time. At no point does Dialoom hold third-party funds outside the umbrella of its payment services provider.
  • Tax transparency: The Host still declares 100% of their income. The donation does not reduce their taxable base: it generates a tax-credit deduction of 80% on the first €250 donated and 40% on the rest, rising to 45% when equal or higher amounts are donated to the same entity for three consecutive years (Spanish Law 49/2002). Karoteno will issue the donation certificate once the Host provides their tax details.
  • Non-resident Hosts: The Spanish donation certificate only has tax effect for Spanish tax residents. Non-resident Hosts should check the treatment applicable in their own jurisdiction, where this certificate may not be valid.
  • Dialoom–Karoteno agreement: Transfers, reconciliation, exchange of donor data and brand use are governed by the collaboration agreement signed between Dialoom (Fremmenn Dynamics, S.L.) and Karoteno.

9. User conduct

Users agree not to:

  • Engage in unlawful, defamatory, discriminatory, or harmful behaviour during sessions or on the platform.
  • Infringe intellectual property rights or confidentiality obligations.
  • Distribute malware, spam, or other malicious code.
  • Attempt to gain unauthorised access to systems, data, or accounts.
  • Collect or harvest personal data from other users without consent.
  • Use Dialoom to promote services that violate applicable laws or platform policies.
  • Post, send or share objectionable content: offensive language, harassment, threats, hate speech, sexually explicit content, or any material that is abusive toward other people.

Zero tolerance. Dialoom has zero tolerance for objectionable content and abusive users. Any user can report content or block another person from within the app; we review every report within 24 hours and remove the content and eject the offending users.

We may suspend or terminate accounts that breach these rules and, where appropriate, notify competent authorities.

Session recording

Every video call on Dialoom is recorded, capturing the video and audio of both participants. The recording is what allows us to generate the summary you receive afterwards, and it is the only way to resolve a report fairly when one participant accuses the other: it protects the person who suffers unacceptable behaviour as much as the person who is falsely accused. You are told before you join and an indicator reminds you during the call. If you do not want to be recorded, do not start the session: cancel the booking and you will be refunded in accordance with the cancellation policy.

Nobody at Dialoom watches these recordings. They are stored encrypted for 30 days and deleted automatically when that period ends. Only if you or the other participant report something that happened in that session is the recording retained for the duration of the review and made available to authorised Dialoom staff, with every access logged. You can download the recording of your own sessions at any time. If the content reveals a possible criminal offence, we will preserve it and make it available to the competent authorities.

10. Content and intellectual property

  • Dialoom retains all intellectual property rights over the platform, including software, trademarks, designs, and databases. Users may not copy, distribute, reverse engineer, or create derivative works without prior written consent.
  • Hosts grant Dialoom a non-exclusive, worldwide licence to use, reproduce, and display listing content for the sole purpose of operating and promoting the platform.
  • Users are responsible for ensuring that any materials shared during sessions respect third-party rights and confidentiality obligations.

11. Platform availability and maintenance

We strive to provide continuous availability but do not guarantee uninterrupted access. Temporary interruptions may occur due to maintenance, upgrades, or circumstances beyond our control. We will use reasonable efforts to notify users of planned downtime.

12. Third-party services

Dialoom integrates third-party providers such as Stripe (payments), Agora (video infrastructure), email and analytics services, and calendar integrations. Each provider acts as an independent controller or processor subject to its own terms and policies. By using Dialoom, you also agree to any terms that are necessary to access these integrated services.

13. Liability and indemnity

  • Dialoom is not a party to the service agreement between Hosts and Clients. Hosts remain solely responsible for the quality, legality, and outcomes of their services, and Clients are responsible for any decisions taken based on those services.
  • To the maximum extent permitted by law, Dialoom is not liable for indirect, incidental, or consequential damages, loss of profits, or loss of data arising from use of the platform, except in cases of wilful misconduct or gross negligence.
  • Users agree to indemnify and hold Dialoom harmless from claims, damages, liabilities, and expenses arising out of their breach of these Terms or infringement of third-party rights.

14. Suspension and termination

We may suspend or terminate access with immediate effect if we detect breaches of these Terms, fraudulent activity, non-payment of fees, or behaviour that risks user safety. Users may close their account at any time through the account settings. Termination does not affect outstanding payment obligations or rights and remedies accrued prior to termination.

15. Governing law and jurisdiction

These Terms are governed by Spanish law. Any disputes will be submitted to the courts of Barcelona (Spain), without prejudice to mandatory consumer protection rules that grant alternative jurisdiction. If these Terms are translated, the Spanish version will prevail in case of conflict.
